1. These Terms
These Terms of Use (the "Terms") are a binding agreement between you and Ardect ("Ardect," "we," "us," and "our"), which operates the website at https://ardect.com (the "Site") and Ardect Video at video.ardect.com, including the Ardect Video Chrome extension ("Ardect Video"; together with the Site, the "Services").
You accept these Terms by using the Services. If you use them on behalf of a company, you confirm you are authorized to bind it, and "you" means that organization. If you do not agree, do not use the Services.
2. Ardect Video
Ardect Video records your screen, camera, microphone, and system audio when you start a recording, and lets you share, transcribe, and summarize those recordings. It is provided for internal business communication by Ardect staff and the people they share videos with. We may improve, change, or retire features over time.
3. Your Account
- You sign in with a Google account and are responsible for activity under it.
- You must be 18 or older, or the age of majority where you live.
- Tell us promptly at tech@ardect.com if you suspect unauthorized use.
4. Acceptable Use
You agree not to:
- use the Services in a way that breaks the law;
- record anyone without the notice or consent the law requires;
- record or share confidential or personal information you are not authorized to share;
- upload or share content that is infringing, harassing, or harmful;
- attempt to gain unauthorized access to the Services, recordings, or their systems;
- interfere with or disrupt the Services, including by introducing malware or scraping without permission; or
- infringe anyone's intellectual property or privacy rights.
We may suspend access or remove content that breaks these Terms.
5. Your Content
You own the recordings and other content you create ("Your Content"). You give us only the rights needed to store, process, transcribe, summarize, and display Your Content to provide the Services, as described in our Privacy Policy. You are responsible for Your Content and for having the right to record and share it.
6. Intellectual Property
We own the Services and everything in them, including software, design, content, and trademarks, other than Your Content. You get a limited, non-exclusive, non-transferable, revocable right to use them under these Terms. All other rights are reserved. Any feedback you give us may be used without restriction or obligation.
7. Disclaimers
To the fullest extent the law allows, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error free, or that transcripts and AI-generated summaries will be accurate.
8. Limitation of Liability
Neither of us is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if told such damages were possible.
Our total liability for any claim relating to the Services is limited to one hundred US dollars (US$100).
These limits do not apply to gross negligence, willful misconduct, or fraud, or to liability that cannot be limited by law.
9. Indemnity
You will defend us against a third-party claim arising from Your Content or from your use of the Services in breach of these Terms or the law.
10. Changes to These Terms
We may update these Terms. We will post the updated version here with a new effective date. Continuing to use the Services after that date means you accept the change.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in the State of Delaware, and both of us consent to that jurisdiction.
Nothing here prevents either of us from seeking injunctive relief in any court to protect confidential information or intellectual property.
12. General
- If any provision is unenforceable, the rest stays in effect and that provision is limited to the minimum extent necessary.
- Failing to enforce a right is not a waiver of it.
- You may not assign these Terms without our written consent. We may assign them to an affiliate or successor.
